Terms of Service

Please read these Terms of Service ("Terms") carefully before using the UtterList mobile application ("App") operated by UtterList ("we", "our", or "us").

By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Description of Service

UtterList is a smart grocery list application that allows you to create, manage, and share grocery lists. The App includes voice input and AI-powered audio transcription features to help you add items to your lists quickly.

2. Subscriptions & In-App Purchases

2.1 UtterList Pro

The App offers a premium subscription ("UtterList Pro") that unlocks additional features, including AI-powered audio transcription.

2.2 Billing

• Subscriptions are billed through the Apple App Store or Google Play Store.
• Payment is charged to your App Store or Google Play account at confirmation of purchase.
• Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.

2.3 Free Trials

• If offered, free trials automatically convert to a paid subscription at the end of the trial period unless cancelled at least 24 hours before the trial expires.
• Any unused portion of a free trial period is forfeited when you purchase a subscription.

2.4 Cancellation

• You may cancel your subscription at any time through your device's subscription settings:
  • iOS: Settings > Apple ID > Subscriptions > UtterList
  • Android: Google Play Store > Subscriptions > UtterList
• Cancellation takes effect at the end of the current billing period. You will continue to have access to premium features until then.
• We do not provide refunds for partial billing periods. Refund requests must be directed to Apple or Google, as applicable.

2.5 Price Changes

We may change subscription prices at any time. Price changes will take effect at the start of the next billing period following the date of the price change. Your continued use of the subscription after a price change constitutes your agreement to the new price.

3. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to any part of the App or its related systems
• Interfere with or disrupt the App's functionality
• Share lists containing harmful, abusive, or illegal content
• Reverse engineer, decompile, or disassemble the App

4. Shared Lists

When you share a list, anyone with access to the shared link can view, edit, and delete items on that list. You are responsible for managing who has access to your shared lists. We are not responsible for unauthorized modifications made by others with access to your shared lists.

5. Voice & Audio Features

• The audio transcription feature requires microphone access on your device.
• Audio recordings are sent to third-party services (Google Gemini API) for processing.
• We do not guarantee the accuracy of transcriptions. You are responsible for reviewing and correcting transcribed items.

6. Advertising

The App may display third-party advertisements. We are not responsible for the content or accuracy of any ads displayed. Your interactions with advertisers (including clicking on ads or making purchases) are solely between you and the advertiser. UtterList Pro subscribers may receive an ad-free experience, subject to your subscription plan.

7. Intellectual Property

The App and its original content, features, and functionality are owned by UtterList and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall UtterList be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the App.

10. Indemnification

You agree to indemnify and hold harmless UtterList and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the App or violation of these Terms.

11. Termination

We may terminate or suspend your access to the App at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date. Your continued use of the App after changes constitutes acceptance of the updated Terms.

14. Apple-Specific Terms (iOS Users)

• These Terms are between you and UtterList, not Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
• Apple is not responsible for any claims relating to the App, including product liability, regulatory compliance, or intellectual property infringement.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
